Introduction

The course is a program course for the bachelor's study in Retail Management and is adapted to the learning objectives set for this study. The course is divided into the following main subjects:

  • Law
    • Introduction to contract law.
    • Purchase law, including international purchase law and international payment systems
    • Labor law
    • Rent of business premises
    • Agency agreements, franchise agreements and distribution agreements
  • Introduction to negotiations
Learning outcomes - Knowledge

After the course, students should have acquired:

  • basic overview of the main principles of contract law and insight into processes for negotiations on the conclusion of contracts.
  • good knowledge of legislation and contract types for purchases between traders and for sales from traders to consumers
  • Overview of contract types for international purchase contracts
  • Overview of key employment law issues
  • Overview of key issues for renting business premises and typical leases
  • knowledge of different types of negotiations and how conflicts can arise and how these can be handled.
Learning outcomes - Skills

After the course, students should be able to:

  • identify and analyze legal and commercial issues relating to contracts, especially contracts for national and international purchases of goods.
  • explain legal and commercial argumentation related to legislation and contracts for purchase.
  • Explain central employment law and tenancy law rules for renting business premises
  • be able to contribute to a negotiation.
General Competence

After the course, students must have:

  • developed the ability for critical and independent reflection through training in the interpretation and application of legislation and contract types for purchases between traders.
  • a conscious relationship with the assessments that form the basis of purchase law standards where these are directly or indirectly linked to a social responsibility.
  • Developed the ability to critically and independently reflect on employment law issues
  • Ability to analyze and reflect in relation to renting business premises
  • knowledge of ethical behavior related to negotiations.
Course content

General contract law

  • Introduction to basic general contract law
  • Review of contracts' regulation of the parties' rights and obligations and of the legal effects of breach of contractual obligations
  • Introduction to entering into contracts and contract negotiation processes
  • Introduction to contract design and use of standard contracts
  • Brief review of key English contract terminology
  • Purchase law, including international purchase law and international payment systems.

Introduction to the Purchase Act and review of typical purchase contracts between traders

  • Introduction to international sales law and the use of international standard contracts for purchases
  • Review of Incoterms (International standard clauses governing the seller's and buyer's responsibilities for transport, insurance, storage, customs clearance, etc. of the purchased goods.)
  • Brief introduction to payment systems in international trade
  • Introduction to key employment law issues
  • Introduction to key issues in connection with renting business premises

Negotiations.

  • Introduction to key challenges related to negotiations
  • Distribution, integration and multiparty negotiations
  • Mediation and conflict management in negotiations
  • International negotiations

The course will be conducted through lectures, a total of 45 course hours.
